To consider and, if deemed advisable, pass, with or without variation, a special resolution approving an amendment to the articles of the Company to consolidate its outstanding common shares (the "Common Shares") on the basis of a ratio to be determined by the board of directors, in its sole discretion, within a range of one (1) post-consolidation Common Share for up to every 20 pre-consolidation Common Shares, as more particularly described in the Company's management information circular.
